The Registered office of a company is the principal place of business activities. A company is to have a registered office from the fifteenth day of its incorporation. FROM ONE CITY TO ANOTHER CITY IN THE SAME STATE BUT BETWEEN JURISDICTIONS OF TWO ROC OFFICES

B) File for the approval of the Regional Director (RD) in the manner prescribed in form INC- 23.
C) File the approval from the Regional Director with the ROC
D) The ROC should register the order and issue a new Certificate of Incorporation with a new corporate identity number.
CHANGE FROM ONE STATE TO ANOTHER
1) Convene a Board Meeting to consider the proposal and call a General Meeting.
2) Conduct the General Meeting and pass a special resolution for amendment of the Situation Clause in the Memorandum of Association.
3) File the copy of resolution in Form MGT-14 certified by a professional with the ROC within 30 days of passing the resolution.
4) Document the application and file the same with necessary enclosures before the Regional Director.
5) The Regional Director will call for a hearing on the case.
6) Present the case through a professional before the Regional Director and obtain the approval.
7) File the approval order with the ROC.
8) File Form INC-22 certified by a professional with the ROC within 30 days of obtaining the order.
9) The ROC of the new state shall register the documents and issue a new Certificate of Incorporation with a new corporate identity number.
